Verdict™ terms, privacy, fees, and conduct

Verdict Private Limited operates the Verdict™ platform under the laws of Singapore. Verdict™ is a technology platform and is not licensed by the Monetary Authority of Singapore — it provides no financial advice and deals in no capital markets products. The five documents below govern your use of the Service.

Terms & Conditions

Last Updated: 10 August 2026 · Verdict Private Limited
IMPORTANT — PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING THIS WEBSITE AND/OR USING THE VERDICT™ SERVICE, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT ANY OF THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE YOUR ACCESS OF THIS WEBSITE AND/OR USE OF THE SERVICE.

These Terms and Conditions (the “Terms”) govern your access to and use of the Verdict™ platform and ODDS™ investment memo service (the “Service”), including any related websites, applications, mobile applications, APIs, and any associated software, data, algorithms, analytics, dashboards, reports, and outputs (collectively, the “Platform”). The Service is provided by Verdict Private Limited (“Verdict™,” “we,” “us,” or “our”), a company incorporated in Singapore with its registered address at 320 Serangoon Rd, #13-05 Centrium Square, Singapore 218108 and UEN 202219620N.

Nothing in these Terms shall be construed as creating an adviser-client relationship between you and Verdict™.

1.3 User Qualifications. The Service is intended for use by sophisticated Investment Professionals who are capable of evaluating the Outputs and making independent investment decisions. By using the Service, you represent that you possess sufficient knowledge and experience in financial and investment matters to evaluate the merits and risks of any information or Outputs provided through the Service.

1.4 Definitions

2. Compliance with MAS Regulations

2.1 Regulatory Status. Verdict™ provides the Service as a technology platform and information system. We do not conduct activities regulated by MAS under the Securities and Futures Act, Financial Advisers Act, Payment Services Act 2019, or FSMA Part 9 (Digital Token Service Providers) unless we have obtained the requisite licences and explicitly notified you in writing.

2.2 No MAS Licence. Unless we have expressly informed you otherwise in writing: (a) Verdict™ is not licenced by MAS under any relevant regulatory regime; (b) the Service is not regulated by MAS; and (c) you are not entitled to the protections afforded to clients of licenced financial institutions under Singapore law, including but not limited to the MAS-Levy (Composite) Rules or dispute resolution schemes administered by the Financial Industry Disputes Resolution Centre Ltd (FIDReC).

2.3 No Regulated Activities. Verdict™ does not: (a) engage in any form of fund management; (b) provide any financial advice; (c) deal in capital markets products; (d) operate a payment system or provide payment services; or (e) provide any digital token service, in each case as defined under applicable Singapore legislation.

2.4 Capital Markets Services. Verdict™ does not provide capital markets services, advise on the merits of any investment, or deal in capital markets products as defined under the Securities and Futures Act (Cap. 289). Nothing in these Terms or in any Output shall be construed as advice on whether to buy, sell, or hold any security or investment product.

2.5 Financial Adviser Status. Verdict™ is not a licensed financial adviser under the Financial Advisers Act (Cap. 110) and does not hold a financial adviser’s licence. Users should seek independent, licensed financial advice before making any investment or capital allocation decision.

2.6 No Marketing to Retail Investors. You agree not to use the Service to market, offer, or sell any investment product or digital token to retail investors in Singapore unless you have complied with all applicable MAS requirements, including prospectus registration requirements under the Securities and Futures Act.

3. Eligibility and Registration

3.1 Eligibility. The Service is available only to: (a) individuals who are at least 18 years old, capable of forming legally binding contracts under applicable law, and who are acting on behalf of a business entity or as accredited investors; and (b) corporations, partnerships, limited liability companies, trusts, or other legal entities validly organised and existing under the laws of their jurisdiction of incorporation and engaged in professional investment activities.

3.2 Registration. To use certain features of the Service, you must register for an account and provide accurate, current, and complete information as prompted by the registration form. You agree to maintain and promptly update your account information. Verdict™ reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or misleading.

3.3 Account Non-Transferability. Accounts are personal to the registered user and may not be sold, transferred, or assigned to any third party without Verdict™’s prior written consent. Any unauthorised transfer or assignment is void and constitutes grounds for immediate account termination.

3.4 Account Security. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify Verdict™ immediately of any unauthorised use of your account at [email protected].

4. Intellectual Property Rights

4.1 Ownership of Verdict™ IP. All intellectual property rights in and to the Service, the Platform, and all contents thereof — including all design, text, graphics, logos, icons, images, data compilations, algorithms, machine learning models, software code, interfaces, APIs, documentation, and the look and feel of the Service — are and shall remain the sole and exclusive property of Verdict™ and/or its licensors. They may not be reproduced, transmitted, published, performed, broadcast, stored, adapted, distributed, displayed, licenced, altered, hyperlinked, framed, mirrored, or otherwise used in whole or in part in any manner without our prior written consent.

4.2 Trademarks. Verdict™, VALLARIS™, WACCFINDER™, PitchScore™, VerdictStar™, VerdictStar Teams™, DRIVE™, PathProven™, PathProven MRR™, PathProven ARR™, PathProven Reach™, The $100M Path™, ODDS™, ODDS Score™, Contrarian ODDS™, Contrarian ODDS Score™, Rollup Score™, ODDS Memo™, Rollup Memo™, Mandate Match™, Scout Rules™, Leaderboard™, First Look™, Call Brief™, Deal Room™, Fund Intelligence™, Verdict Insight™, Verdict Advise™, VerdictCredits™, Verdict Verified™, Raise Room™, MoatMap™, Founder’s Mindset™, Maverick Mission™, Market Instinct™, Money Instinct™, Machine Mode™, Active Founder™, 5M Proven™, and Verdict Index™ are trademarks of Verdict Private Limited. No licence or right is granted to use any Marks appearing on the Service without our prior written consent.

4.3 Licence to Use. Subject to compliance with these Terms and payment of all applicable fees, Verdict™ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal business purposes during the Term. This licence does not include any right to reverse engineer, decompile, copy, or distribute the Service, or to develop a competing product or service.

5. Artificial Intelligence and Outputs

Verdict™ uses artificial intelligence to generate Outputs. AI may produce errors, omissions, or inaccuracies — including hallucinations. You must independently verify all Outputs before relying on them. Verdict™ does not guarantee results, returns, or investment outcomes of any kind.

5.1 Nature of AI Outputs. Outputs generated by the Service’s artificial intelligence systems: (a) may not be accurate, complete, reliable, or suitable for any particular purpose; (b) may contain errors, omissions, hallucinations, or inaccuracies; (c) may reflect biases present in the underlying training data; (d) should not be relied upon without independent verification; and (e) are not a substitute for your own research, due diligence, professional judgment, or advice from qualified legal, financial, or tax professionals.

5.2 No Guarantee of Performance. Verdict™ does not guarantee the performance, returns, outcomes, or results of any investment decisions made based on AI Outputs. Past performance, simulated performance, or forward-looking statements contained in Outputs do not guarantee future results.

5.3 Data Sources. AI Outputs are generated using data provided by Users, third-party data providers, and publicly available information. Verdict™ does not independently verify the accuracy or completeness of third-party data used to generate Outputs and accepts no liability for errors or omissions in such data.

5.4 No Professional Advice. Outputs do not constitute legal, financial, investment, tax, or accounting advice. You should seek professional advice at all times and obtain independent verification of any Outputs before making any decision based on such Outputs.

5.5 Liability for User-Submitted False Data. Verdict™ bears no liability for Outputs derived from User Content that proves to be inaccurate, false, or fraudulent. Where a User submits false, manipulated, or misleading data — including pitch deck content, financial information, team credentials, or any other information — and AI-generated Outputs are derived from or influenced by such data, liability for any loss or damage arising from reliance on such Outputs rests solely with the User who submitted the false data.

5.6 PathProven MRR™ Verification Scope. PathProven MRR™ reflects only revenue data from payment processors connected by the Founder at the time of verification (Airwallex, ChargeBee, Stripe, or other authorised integrations). It does not represent total company revenue from all sources, is not an audit, and is not a guarantee of the accuracy of the Founder’s overall financial position. Investors should treat PathProven MRR™ as a verified data point from connected sources only, not as a comprehensive financial statement.

6. Data Protection and Privacy

6.1 Personal Data. Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, disclose, and protect personal data in connection with the Service, including our compliance with the Personal Data Protection Act 2012 (as amended by the Personal Data Protection (Amendment) Act 2020) (“PDPA”).

6.2 User Content. You retain all ownership rights to any data, information, documents, materials, or content that you submit, upload, or display through the Service (“User Content”). By submitting User Content, you grant Verdict™ a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, process, and use your User Content solely to: (a) provide, maintain, and improve the Service; (b) develop and train our AI models and algorithms (without disclosing your confidential information to other users); and (c) generate aggregated, anonymised statistical data for product development and benchmarking purposes.

6.2A VerdictStar™ Psychological Assessment Data. The collection and use of personality and psychological assessment data submitted through the VerdictStar™ assessment is governed by a separate, explicit consent process. The general User Content licence in Section 6.2(b) does not extend to VerdictStar™ psychological data beyond the purposes explicitly named in the VerdictStar™ Consent. Founders may withdraw VerdictStar™ Consent at any time by contacting [email protected].

6.4 Data Security. Verdict™ implements reasonable technical and organisational measures to protect User Content, including encryption of data in transit (TLS 1.3) and at rest (AES-256), and multi-factor authentication for all administrative access, aligned with MAS Notice FSM-N30 on Technology Risk Management and MAS Notice FSM-N31 on Cyber Hygiene.

6.5 Investor Confidentiality Undertaking. Every Investor agrees to this confidentiality undertaking on registration as a condition of access, and it applies platform-wide to all Founder information accessed through the Service. “Confidential Information” means any non-public information about a Founder or its business disclosed to or accessed by an Investor through the Platform, including profiles, PitchScore™ results, ODDS™ analyses, financial data, metrics, documents, data-room contents, and the existence and contents of any Introduction. The Investor agrees to: (a) use Confidential Information solely to evaluate a potential investment in the disclosing Founder; (b) not disclose it to any third party except to the Investor’s professional advisers or investment committee on a need-to-know basis and under equivalent confidentiality obligations; (c) not use it to compete with, replicate, or solicit away the business of the Founder; and (d) on the Founder’s request or on termination, cease use and destroy or return such information, subject to retention required by law or bona fide internal record-keeping. This undertaking survives termination of the account for three (3) years from disclosure, save for trade secrets, which remain protected for as long as they qualify as such.

6.6 Per-Introduction Acknowledgement. At the point an Introduction is accepted, the Investor may be required to record a per-Introduction acknowledgement reaffirming this undertaking in respect of the specific Founder. Such acknowledgement supplements, and does not replace, the platform-wide undertaking in Section 6.5. Verdict™ may log the date, time, and parties of each acknowledgement as a record of the confidentiality relationship.

6.7 No Separate NDA Required. The undertaking in Section 6.5 operates in place of a separate per-deal non-disclosure agreement for information exchanged through the Platform. A Founder and Investor remain free to enter into a separate bilateral NDA for disclosures made outside the Platform.

7. Technology Risk Management

Verdict™ maintains technology risk management and cyber hygiene practices aligned with MAS guidelines, including regular vulnerability assessments, penetration testing, incident response procedures, and business continuity plans. In the event of a security incident materially impacting your User Content, we will take reasonable steps to contain the incident and notify affected users as soon as practicable.

8. Fees and Payment

8.1 Subscription Fees. Certain features of the Service are subject to subscription fees. Current plans are: Pathfinder ($0/month), Closer ($199/month + 4% success fee), Scaler ($699/month + 4% success fee) for founders; and Scout ($0/month), Analyst ($500/month), Principal ($1,500/month) for investors. All subscription fees are non-refundable except as required by applicable law. Annual subscriptions are non-refundable after 30 days. Any approved refunds will be net of applicable taxes, transaction fees, and any accrued but unpaid Success Fee obligations.

8.2 Success Fee. In consideration of the Introduction services provided by the Platform, Founders at Stages 1–5 (below $10M ARR) agree to pay Verdict™ a flat success fee of 4% of the total aggregate consideration of any Qualifying Transaction, capped at $500,000 per transaction. The Success Fee is calculated on gross capital raised before deduction of any taxes, fees, or expenses. At Stage 6 ($10M ARR), the founder transitions to VALLARIS™ (Vallaris Deal Advisory Pte Ltd) for M&A advisory, at which point VALLARIS™’s own Modified Lehman Formula applies under a separate advisory agreement. Verdict™’s 4% capped fee does not apply to transactions facilitated by VALLARIS™.

8.3 Success Fee Payment. The Success Fee is due and payable upon confirmed receipt of capital into the Founder’s nominated account. For transactions processed through our authorised payment partner (Airwallex), funds are held in escrow and released to the Founder’s account once the transaction is verified. The Success Fee is collected at the point of capital release — not at the point of signing or agreement. A Founder’s obligation to pay the Success Fee does not arise until capital has been confirmed received. Verdict™ will issue an invoice upon confirmation of receipt. You authorise Verdict™ to deduct the Success Fee from escrow or proceeds held through Airwallex or any other authorised payment provider at the time of release. Non-payment of the Success Fee within 30 days of invoice will result in suspension of your account and permanent blacklisting from all Verdict™ platforms and affiliated partner networks.

8.4 Non-Circumvention. You agree not to contact any Introduced Investor outside the Platform within the Success Fee Period for the purpose of consummating a transaction that would be a Qualifying Transaction. Any transaction consummated in breach of this clause will be deemed a Qualifying Transaction for the purpose of calculating the Success Fee, regardless of the communication channel used.

8.5 No Refund on Suspension or Termination for Cause. If your account is suspended or terminated for cause under Section 13.3 — including breach of these Terms, the Founder Code of Conduct, or the Investor Code of Conduct — you are not entitled to a refund of any subscription fees paid for the current or any prior billing period. Unused credit in a paid subscription period is forfeited at the point of suspension or termination. Any success fee obligations that accrued prior to suspension or termination remain payable in full. If you believe your account was suspended in error, contact [email protected] within 14 days of suspension.

9. Prohibited Conduct

You agree not to: (a) submit false, inaccurate, or misleading information about your business, revenue, or team; (b) impersonate any person or entity; (c) use the Service in violation of any applicable law or regulation; (d) interfere with or disrupt the integrity or performance of the Service; (e) attempt to gain unauthorised access to any portion of the Service; (f) use the Service to develop a competing product or service; (g) attempt to evade or reduce the Success Fee through any means; or (h) breach the Founder Code of Conduct.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VERDICT™ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDICT™ AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF VERDICT™ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL VERDICT™’S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION AND PLATFORM FEES PAID BY YOU TO VERDICT™ IN THE THREE MONTHS PRECEDING THE CLAIM, EXCLUDING ANY SUCCESS FEES PAID OR PAYABLE, OR (B) SGD 500.

12. Indemnification

You agree to indemnify, defend, and hold harmless Verdict™ and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) your breach of the Founder Code of Conduct.

13. Term and Termination

13.1 Term. These Terms shall remain in effect for as long as you use the Service or maintain an account with us.

13.2 Termination by User. You may terminate your account at any time by contacting [email protected]. Termination does not extinguish any Success Fee obligations accrued prior to termination, nor any obligation arising from an Introduction made prior to termination within the Success Fee Period.

13.3 Termination for Cause. Verdict™ may immediately suspend or terminate your access to the Service, without notice or liability to you, if: (a) you breach these Terms or the Founder Code of Conduct; (b) we are required to do so by law or regulatory authority, including MAS; (c) you provide false or inaccurate information; (d) you fail to pay any fees when due; or (e) you become insolvent or file for bankruptcy.

13.4(f) Blacklisting for Cause. Termination for breach of the Verdict™ Founder Code of Conduct — including but not limited to non-payment or attempted evasion of the Success Fee — will result in permanent blacklisting from all Verdict™ platforms, services, and affiliated partner networks. Information regarding such breach may be shared with partner funds and investors to protect the integrity of the Verdict™ Ecosystem.

13.5 Survival of Success Fee. The obligation to pay any Success Fee that accrued prior to termination, or that arises from an Introduction made prior to termination, shall survive the termination of this agreement indefinitely until satisfied.

13.6 Account Independence. Each User account on Verdict™ is assessed and enforced independently. The suspension or termination of a Founder’s account — for any reason, including breach of the Founder Code of Conduct — does not affect the accounts, subscriptions, or platform access of any Investor. The suspension or termination of an Investor’s account — for any reason, including breach of the Investor Code of Conduct — does not affect the accounts, subscriptions, or platform access of any Founder. The two sides of the marketplace operate independently. No User may seek to extend a sanction against another User’s counterparty account, and no User may use a counterparty’s suspension as grounds to void an existing introduction, avoid a Success Fee obligation, or claim any remedy against Verdict™.

14. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where reasonably practicable, by notifying you by email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law. These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

15.2 Arbitration. Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding its existence, validity, or termination — shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of SIAC for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

15.3 Interim Relief. Notwithstanding Section 15.2, Verdict™ reserves the right to seek urgent injunctive or other equitable relief from the courts of Singapore to preserve its rights pending the constitution of an arbitral tribunal or the issuance of an arbitral award.

15.4 No Class Actions. All disputes must be brought in the parties’ individual capacity. You waive any right to bring or participate in a class action, collective action, or representative proceeding against Verdict™.

16. General

These Terms constitute the entire agreement between you and Verdict™ with respect to the Service and supersede all prior agreements. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force. Verdict™’s failure to enforce any right or provision shall not constitute a waiver.

Success Fee

Verdict™ charges a flat 4% success fee on equity raised in rounds that close through a Verdict™ facilitated introduction. Key terms:

  • The fee is calculated on the total equity raised in the closing round (gross, before taxes, fees, or expenses).
  • The fee is capped at $500,000 per transaction for Stages 1–5 (below $10M ARR).
  • The fee is payable by the Founder, not the Investor.
  • The fee is due within 14 calendar days of the round closing.
  • Where the round settles through a Verdict™-designated escrow agent or licenced payment provider, the fee is deducted from transaction proceeds at closing — before the net balance is released to the company; otherwise it is invoiced and due within the 14 days above.
  • No fee is charged if the round does not close, regardless of the number of introductions made.
  • The Success Fee Period is 24 months from the date of Introduction. Any Qualifying Transaction within this period triggers the fee.
  • The success fee attaches to the Introduction, not to the plan. A founder who receives an Introduction on a paid plan and closes a Qualifying Transaction within 24 months remains liable for the 4% fee even if they downgrade to Pathfinder before the round closes. (Introductions are not available on the free Pathfinder plan.)
  • At Stage 6 ($10M ARR+), transactions are facilitated by VALLARIS™ under a separate Modified Lehman Formula advisory agreement. The Verdict™ 4% capped fee does not apply to VALLARIS™-facilitated transactions.

No Hidden Fees

Verdict™ does not charge Investors deal-by-deal fees. Verdict™ does not accept payments from Founders to boost leaderboard positioning. PitchScore™, VerdictStar™, and ODDS™ scores are generated by algorithm and are not for sale. PathProven MRR™ figures cannot be purchased — they are pulled directly from connected payment processors.

Founder Code of Conduct

Last Updated: 5 August 2026 · /founder-code-of-conduct

The Verdict™ Founder Code of Conduct governs the behaviour of all founders on the Verdict™ platform. It is a binding agreement signed at plan activation and acknowledged before each investor introduction is accepted. Founders who maintain good standing under this Code earn the Verdict Verified™ Badge — the platform’s highest trust credential.

Verdict Verified™ Badge
Awarded to founders who maintain good standing under this Code. Signals trust. Results in priority placement in investor searches and the right to display the badge on LinkedIn and professional profiles.

The Verdict Verified™ Badge is separate from VerdictStar™. VerdictStar™ assesses team composition and founder personality. The Verified badge confirms compliance with platform rules, accuracy of information, and payment obligations. It can be revoked if standards are not maintained.

1. Integrity in Fundraising

You agree that all information submitted to Verdict™ — including revenue figures, team backgrounds, company financials, cap table information, and pitch deck content — is accurate, complete, and not misleading. You will update your profile within 30 days of any material change. Submitting false or inflated revenue figures, undisclosed co-founders, hidden investor commitments, or misrepresented metrics is a breach of this Code and grounds for immediate permanent blacklisting.

PathProven MRR™ is verified directly from your payment processor. If you disconnect your Airwallex, ChargeBee, or Stripe integration for the purpose of hiding revenue data, this constitutes a breach.

All information you volunteer — whether in your pitch deck, profile, or any communication on the platform — is submitted in good faith and represents your honest understanding at the time of submission. Verdict™ may independently verify any information you submit, including but not limited to cap table records, revenue data, company registration details, founder credentials, and team backgrounds. You consent to such verification and agree to provide supporting documentation within 5 business days of a written request.

2. Commitment to the $100M Path™

You acknowledge that Verdict™ is a platform for founders who are genuinely committed to building a high-growth business. You agree not to use Verdict™ as a casual browsing tool or to collect investor contacts for purposes unrelated to a genuine capital raise. Repeat intro requests to the same investors across multiple registration attempts will result in account suspension.

3. Professional Conduct with Investors

You agree to respond to investor intro requests — accept or decline — within 48 hours on the Closer plan and 24 hours on the Scaler plan. Once you accept an intro, you agree to engage professionally and in good faith. Accepting an intro and then going silent after accessing an investor’s data room is a breach of this Code. If you wish to decline an introduction, do so promptly — declined intros cost 0 VerdictCredits™ and carry no penalty.

4. VerdictCredits™

4.1 Nature of Credits. VerdictCredits™ are a non-monetary, non-transferable platform utility that enables access to specific Verdict™ features. They have no cash value, cannot be redeemed for currency, and cannot be transferred between accounts.

4.1-1 What that does and does not mean. “No cash value” describes how a credit may be redeemed. It does not describe who holds it. A VerdictCredit™ that has been issued to your account — whether included with your plan, purchased, earned, or sponsored — is yours until you spend it or it reaches the expiry date shown against it in Settings → Billing & Usage. Verdict™ does not remove, reduce, or reset an unexpired credit balance, and does not treat credits as a revocable courtesy. The only ways a credit leaves your account are that you spend it, or its stated term ends.

4.1a Your Credits and Sponsored Credits. Your balance may hold two kinds of VerdictCredits™, and they are not interchangeable.

  • Your Credits are those included with your plan, purchased by you, or earned through platform actions. They may be spent on any credit-priced feature.
  • Sponsored Credits are funded by a third party — for example an accelerator, a bank, a professional firm, or a programme you take part in — and allocated to your account. They may be spent on Verdict™-delivered output only. Sponsored Credits cannot be used for intro requests, Broadcast, or investor profile unlocks. Those three actions consume another member’s attention and must be funded by you.

Where an action accepts either kind, Sponsored Credits are spent first. Your dashboard shows the two balances separately at all times, together with each grant’s source and expiry date. The party that funded a Sponsored Credit grant is named in your ledger.

4.1b Sponsored Credits confer no plan entitlement. A Sponsored Credit grant increases your balance. It does not change your plan, and it does not grant Closer or Scaler features. A sponsoring party does not control, access, transfer, or close your account, and your account and your data remain yours when any sponsored programme ends.

4.1c What a sponsoring party receives. A sponsoring party receives reporting on how its funded credits were spent, and outcome information at cohort level only, aggregated and suppressed below a minimum cohort size so that no individual is identifiable. A sponsoring party does not receive your individual scores, your pitch deck, your financial or connected data, your ODDS Memo™ content, or any raw export — unless you give explicit consent in the platform, which you may withdraw at any time.

4.2 Expiry. All VerdictCredits™ expire 12 months from the date they are issued to your account, whether included with your plan, purchased, earned through platform actions, or received as Sponsored Credits. There is no monthly reset and no forfeiture cycle: credits remain available as a running balance until spent or until their twelve-month term ends. Credits are consumed in the order they expire, soonest first; where two grants share an expiry date, Sponsored Credits are consumed first. Sponsored Credits run from the date the sponsoring party purchased the block, subject to a minimum of 90 days from allocation to your account. Each grant’s expiry date is shown in Settings → Billing & Usage.

4.3 Non-refundable. VerdictCredits™ are non-refundable once purchased, except where required by applicable consumer protection law. Credits deducted for a feature action (such as an intro request) are consumed on send and are not returned if the counterparty does not respond.

4.4 Changes to Credit Costs. Verdict™ reserves the right to change the credit cost of any feature with 14 days’ notice published on the platform. A change to the credit cost of a feature never reduces, revalues, or shortens the term of credits you already hold.

4.5 Changes to these credit terms. This clause 4.4 permits a change to what a feature costs. It does not permit a change to the terms on which credits you already hold are kept. Should Verdict™ ever need to change those terms, it will give at least 60 days’ notice before the change takes effect, will state the reason, and any new term will run from the date of that notice and never from the date a credit was originally issued. Nothing you hold is forfeited on the day such a notice is given.

5. Payment Authorisation and Non-Circumvention

You acknowledge and agree that: (a) the 4% success fee (flat, capped at $500,000) applies to any Qualifying Transaction that closes within 24 months of a Verdict™ introduction, regardless of how the transaction is ultimately structured or what communication channel is used; (b) contacting an Introduced Investor outside the Verdict™ Platform to consummate a transaction that would be a Qualifying Transaction is a material breach of these Terms; (c) you authorise Verdict™ to deduct the Success Fee from any escrow or proceeds held through a licenced payment provider; and (d) any attempt to evade, reduce, or circumvent the Success Fee — including by routing a transaction through a related party or restructuring the consideration — will be treated as non-payment and enforced accordingly.

Settlement through designated escrow. Where Verdict™ makes available a designated escrow agent or licenced payment provider for a Qualifying Transaction, you agree — where reasonably requested — to settle the round through it, and you irrevocably direct that escrow agent or provider to remit the Success Fee to Verdict™ from the transaction proceeds at closing, before the net balance is released to your company. This direction survives until the Success Fee is paid in full. Where a Qualifying Transaction settles without a Verdict™-designated escrow, the Success Fee remains payable within 14 days under the Fee Disclosure.

Verdict™ monitors public and paid third-party data sources, as well as company registry data, for closing events. Verdict™ will notify the Founder before treating any third-party sourced closing event as confirmed. Founders are required to notify Verdict™ of a Qualifying Transaction within 7 calendar days of closing at [email protected].

6. Data Accuracy and Updates

You agree to maintain an accurate and current profile at all times. Specifically: (a) financial data connected via PathProven™ must remain live-connected — you must not disconnect the integration for the purpose of hiding revenue data; (b) your company registration certificate must be current; (c) your $100M Path™ stage must accurately reflect your current ARR; and (d) your VerdictStar™ assessment responses must be completed honestly and not coached or manipulated.

7. Consequences of Breach

Breaches of this Code are taken seriously and may result in:

  • Immediate suspension of your profile and visibility
  • Permanent blacklisting from all Verdict™ platforms, services, and affiliated partner networks
  • Information about the breach being shared with partner funds and investors to protect the integrity of the Verdict™ Ecosystem
  • Legal proceedings for non-payment of the Success Fee
  • Revocation of the Verdict Verified™ Badge

Permanent blacklisting means you, your company, and any related entities controlled by you or your co-founders will be excluded from the Verdict™ platform permanently, with no right of appeal.

Account independence. Your suspension or termination does not affect the accounts, subscriptions, or platform access of any investor you were previously matched with. Investor accounts operate independently and no investor is penalised by your breach. Any subscription fees paid by you are non-refundable on suspension or termination for cause. Any accrued Success Fee obligations survive your termination.

8. Misrepresentation Protocol

Where Verdict™ identifies or receives credible evidence of a material misrepresentation — whether through independent verification, investor dispute, platform monitoring, or regulatory referral — the following steps apply:

  1. Immediate suspension. Your profile is suspended without prior notice. Visibility is removed from all investor searches and match results, and the platform’s matchability flag is cleared — you will not appear in any ODDS Memo™ report or investor search pending resolution.
  2. Investor notification. Any investor who received an ODDS Memo™ report, introduction, or Deal Room™ access based on the affected data will be notified. Verdict™ will inform those investors that information they may have relied on requires clarification. The specific content of the misrepresentation is disclosed at Verdict’s discretion.
  3. Permanent record. A full record of the identified misrepresentation — including the original submission, evidence of inaccuracy, and outcome of any investigation — is logged permanently in the Verdict™ database. This record is not deleted, cannot be expunged, and may inform decisions on related entities and future applications made under any name.
  4. Permanent exclusion. At Verdict’s discretion, your account and any entity controlled by you, your co-founders, or parties acting on your behalf may be permanently excluded from all Verdict™ platforms and affiliated partner networks. No right of appeal applies to a permanent ban issued for misrepresentation.
  5. Regulatory referral. Where the misrepresentation relates to a statement made to an investor, a securities offering, or conduct that may constitute fraud or market misconduct, Verdict™ reserves the right — and where required by applicable law, the obligation — to refer the matter to the relevant regulatory authority, securities regulator, or law enforcement agency.

9. Acknowledgement

By activating a Closer or Scaler plan, you acknowledge that you have read, understood, and agree to be bound by this Founder Code of Conduct. You will be asked to acknowledge this Code again before accepting each investor introduction.

Investor Code of Conduct

Last Updated: 20 July 2026 · /investor-code-of-conduct

The Verdict™ Investor Code of Conduct governs all investors who access deal flow — including free Scout preview access and paid Analyst and Institutional memberships. It exists to protect founders who share sensitive information in good faith, and to ensure the capital on Verdict™ is as verified and trustworthy as the founders who pitch to it.

1. Mandate Integrity

You agree that all information submitted to Verdict™ — including your fund name, investment mandate, cheque size range, sector focus, stage preference, and geographic focus — is accurate and current. You will update your mandate within 14 days of any material change. Misrepresenting your mandate to obtain access to founders outside your actual investment criteria is a breach of this Code. Verdict™ matches founders to your stated mandate; if the mandate is false, the match is fraudulent.

2. Confidentiality of Unmatched Profiles

Founder profile data — including company name, revenue figures, team composition, cap table information, and pitch deck content — is shared with you strictly for the purpose of evaluating a potential investment. You agree not to share, forward, copy, publish, or discuss any founder’s profile information with third parties, including other funds, advisers, or portfolio companies, without that founder’s prior written consent. This obligation survives the termination of your Verdict™ membership.

3. Non-Circumvention

Once you have accessed a founder’s profile or accepted an introduction through Verdict™, you agree not to contact that founder directly — or through a third party — to circumvent the Verdict™ introduction process. All formal introductions must flow through Verdict™ until both parties have confirmed they wish to proceed independently. Circumvention includes instructing a colleague, advisor, or scout to make contact on your behalf.

Non-circumvention applies for 24 months from the date you first accessed the founder’s profile. If you wish to engage a founder whose profile you have viewed but with whom no introduction was completed, you must do so through Verdict™ or obtain the founder’s written waiver of this obligation.

Learning a founder’s identity does not release you from this obligation. Verdict™ withholds founder identity on lower tiers and on unmatched profiles precisely so that any approach you make is one the Platform facilitated. Obtaining a founder’s identity — whether by upgrading your plan to unlock a blurred profile, by accepting an introduction, or by inference from the metrics and materials the Platform displays — and then using it to contact the founder outside Verdict™ (directly or through a third party) is a circumvention and a breach of these Terms, and the Success Fee remains payable on any Qualifying Transaction that results.

4. Timely Engagement

When Verdict™ sends you a matched founder introduction, you agree to respond with a decision — proceed, decline, or request more information — within 14 calendar days. Persistent non-response degrades the quality of the platform for founders and will result in your mandate being temporarily paused from the matching queue. Repeated non-response (three consecutive unanswered introductions) will be treated as a breach of this Code.

5. No Ghosting After Introduction Acceptance

If you accept a Verdict™ introduction, you agree to complete at least one substantive communication with the founder within 21 calendar days. Accepting an introduction and then failing to engage is a breach of this Code. Verdict™ collects founder feedback on investor responsiveness; investors with a pattern of ghosting after accepted introductions will be removed from the platform.

6. Accreditation Attestation Accuracy

Access to Verdict™ deal flow requires that you are an accredited or professional investor, or authorised to invest on behalf of one. You attest to this status at registration. You agree to immediately notify Verdict™ if your accreditation status changes and you are no longer eligible. Accessing deal flow without valid accreditation status, or allowing your accreditation to lapse without notification, is a breach of this Code and may constitute a regulatory violation in your jurisdiction.

7. Consequences of Breach

A breach of this Code — including mandate misrepresentation, confidentiality violations, circumvention, non-response, or inaccurate accreditation attestation — may result in: immediate suspension of access pending investigation; permanent removal from the Verdict™ platform; public notification to the Verdict™ founder community that the investor is no longer in good standing; and legal action where the breach constitutes fraud, breach of contract, or misuse of confidential information.

Verdict™ reserves the right to determine, in its sole discretion, whether a breach has occurred and what remedial action is appropriate. All decisions regarding breach and sanction are final.

Account independence. Your suspension or termination does not affect the accounts, subscriptions, or platform access of any founder you were previously matched with. Founder accounts operate independently and no founder is penalised by your breach. Any subscription fees paid by you are non-refundable on suspension or termination for cause. No founder may use your suspension as grounds to void an existing introduction or avoid a Success Fee obligation owed to Verdict™.

8. Acknowledgement

By submitting your email and accreditation attestation in the Scout preview flow, you confirm you have read and agree to this Investor Code of Conduct. By activating an Analyst or Institutional membership, you confirm your agreement again. This Code is a binding agreement between you and Verdict Private Limited, incorporated in Singapore.

Adviser Code of Conduct

Last Updated: 19 August 2026 · /specialist-code-of-conduct

The Verdict™ Adviser Code of Conduct governs everyone who delivers work through Verdict Advise™ — Silver, Gold, and Platinum specialists, and advisers who onboard specifically to sign a clean-team agreement on a live deal. It exists to protect the investors and founders who rely on your work, and to keep the marketplace worth belonging to.

1. Credential Accuracy

Your DRIVE™ assessment, LinkedIn history, professional certifications, and stated expertise must be true, current, and verifiable. A certification claimed without a valid registration number that Verdict™ can check against the issuing register will be rejected — an unverifiable claim is worse than none. Misrepresenting your experience, sector, or standing to win matches is a breach of this Code.

2. On-Platform Work and Payment (Non-Circumvention)

All client engagement, scheduling, and payment for work sourced through Verdict™ stays on Verdict™. You agree not to request or share direct contact details, propose off-platform engagement, or accept or solicit direct payment to avoid the platform take-rate. Verdict™ screens submitted text and messages and blocks direct contact details. For any investor or founder introduced to you through Verdict™, non-circumvention applies for 24 months; converting a fractional engagement to a full-time role follows the buyout schedule in your agreement. Taking work off-platform to avoid the take-rate is a serious breach and is treated as such.

3. Confidentiality and Clean-Team Duty

Everything you see in a data room or a clean-team review is confidential and may be used only for the engagement. Where you act as a clean-team reviewer for an investor, you must be an outside adviser or non-operating designee — you agree not to share sensitive data (customer or supplier identities, contracts, IP, architecture, or source) with the investor’s operating staff, and not to use it to compete with, reverse-engineer, or solicit the founder’s customers or employees. This obligation survives the engagement and your Verdict™ membership.

4. Independence and Conflicts

Disclose any conflict of interest before accepting a match — including work for a direct competitor of the client. Where an engagement requires a signed, independent valuation or opinion, that work is delivered by VALLARIS™ under its own independence rules; do not represent Verdict Advise™ work as an independent signed valuation.

5. Quality and Standing

Standing on Verdict™ is earned, not bought: Gold and Platinum tiers require sustained ratings and completed sessions. You agree to deliver the scope you accept, communicate honestly about what you can and cannot do, and honour the clawback that protects a client on early failure. Persistent under-delivery, non-response, or ghosting after accepting an engagement is a breach.

6. Enforcement and Consequences (Graduated)

Enforcement is graduated, not an immediate ban. A first or second attempt to share off-platform contact details is blocked at submission with a notice and logged. Repeated attempts, or a serious breach (credential fraud, confidentiality violation, misuse of clean-team access, or circumvention of the take-rate) trigger a temporary restriction with a 7-day cooling-off on matches and payouts. You may appeal — a human reviewer responds within 24–72 hours, and a successful appeal clears the strike and waives any fee; a restoration fee restores access sooner and is waived on a successful appeal. Deliberate or repeated breach escalates to permanent removal and blacklisting across Verdict™ and affiliated partner networks. Severe breaches (fraud, misuse of confidential information) may be ineligible for reinstatement.

7. Acknowledgement

By activating a Verdict Advise™ Adviser account — including onboarding to sign a clean-team agreement on a live deal — you confirm you have read and agree to this Adviser Code of Conduct. This Code is a binding agreement between you and Verdict Private Limited, incorporated in Singapore.
